What changed on June 10, 2026: section 2 now reflects multi-business support (one account can manage multiple businesses; the count is set by your plan tier, replacing the old “create separate accounts” guidance); section 4 states the current take rates exactly (no take rate on Starter, 7% on Growth, 5% tapering to 3% on Business) — correcting an outdated “between 5% and 10%” range — and section 8 discloses that, from June 24, 2026, AI recommendations may be informed by the anonymous category benchmarks described in our Privacy Policy.

These terms govern your use of Ad-Aura. We've tried to write them in plain English. The most important things to know up front: Ad-Aura is a tool that runs and optimizes ad campaigns on your behalf, you pay us a flat monthly subscription plus — on the Growth and Business tiers — a management fee calculated as a percentage of the ad spend we manage, your advertising budget is paid directly to Google, Microsoft, Meta, TikTok, and Reddit by you (we do not hold your ad-spend money), and our AI's recommendations are suggestions — not guarantees of performance.

1. Acceptance

By creating an account or otherwise using Ad-Aura, you agree to these Terms of Service and to our Privacy Policy. You must be at least 18 years old and authorized to bind the business you are advertising for. If you do not agree to these terms, do not use the service.

2. Your account

You sign in to Ad-Aura with a Google or Facebook account. You are responsible for keeping that identity-provider account secure and for everything that happens under your Ad-Aura account. Please provide accurate business information at sign-up; we use it to configure your campaigns and your billing.

One Ad-Aura account can manage one or more businesses, each with its own profile, strategy, and campaigns. The number of businesses an account can manage is a plan feature determined by your subscription tier — see our pricing page for current limits. Downgrading never removes or locks a business you already manage; it only limits adding new ones. Billing, ad-spend caps, and campaign limits apply to the account as a whole across all of its businesses.

3. What Ad-Aura does

Ad-Aura is an agentic ad-spend optimizer. We help you create, launch, and iteratively optimize advertising campaigns on Google, Microsoft, Meta, TikTok, and Reddit through those platforms' official APIs. We are not affiliated with Google, Microsoft, Meta, TikTok, or Reddit. We do not guarantee the availability, behavior, pricing, or performance of those platforms.

4. Pricing and billing

Ad-Aura charges you in two parts each billing cycle:

  • A flat monthly base fee based on your subscription tier (currently Starter, Growth, or Business — see our pricing page for current amounts).
  • A take-rate fee — our management fee on managed spend — on the Growth and Business tiers only, equal to a small percentage of the advertising spend we manage on your behalf in that billing cycle: currently 7% on Growth and 5% on Business (3% on the portion of managed spend above $15,000 in a cycle). Starter has no take-rate fee at all — it is a flat-fee-only tier. See our pricing page for current rates and founder pricing. The take-rate fee is billed in arrears, at the end of each cycle, based on the spend reported by the ad platforms.

Subscriptions are billed monthly by Stripe and renew automatically until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing cycle and we do not pro-rate partial months. There is no free trial of live campaign management — instead, you can build campaigns in test mode (zero spend, no card required) free of charge before subscribing; if we ever offer a promotional trial, its terms will be stated at signup. Founder pricing, where offered, locks in a lower take-rate for the lifetime of the subscription; founder slots are limited and are claimed on a first-come-first-served basis via our checkout flow. Refunds are governed by our refund policy.

Prices may change. We will give existing paying customers at least 30 days' notice of any increase to their flat base fee or take-rate.

5. Your advertising budget (important)

Ad-Aura does not hold custody of your advertising budget. Charges for ad impressions are billed directly by Google, Microsoft, Meta, TikTok, and Reddit to the payment method you have registered with each platform. Our subscription fees pay for the optimization service only; they do not include and do not cover any amount you spend on advertising. If your card on file with an ad platform fails, that platform will pause your campaigns; we cannot pay your ad bills for you.

6. Acceptable use

You agree not to use Ad-Aura to:

  • run advertising that is illegal in your jurisdiction or the jurisdiction it targets;
  • promote scams, malware, fraud, sexual content, weapons, controlled substances, or any other content prohibited by the underlying ad platform's policies;
  • misrepresent your business, your products, or the source of your advertising;
  • circumvent, scrape, or reverse-engineer the service, or use automated tools against it beyond the public APIs we offer;
  • attempt to access another customer's account, ad accounts, or data;
  • use Ad-Aura in a way that violates Google, Microsoft, Meta, TikTok, Reddit, or Stripe's own terms of service — those terms also apply to you when you use those services through us.

You are solely responsible for the legality and policy-compliance of the advertising content you publish through Ad-Aura.

7. Intellectual property

Your content stays yours. The campaigns, ad copy, audience descriptions, creatives, logos, and business information you upload or create in Ad-Aura remain your property. You grant Ad-Aura a limited, non-exclusive, worldwide license to host, process, transmit, and display that content as necessary to operate the service and to share it with the ad platforms you have connected.

The Ad-Aura software, brand, designs, and all related intellectual property are owned by us. Nothing in these terms transfers ownership of our IP to you.

8. AI-generated recommendations

Ad-Aura uses AI agents to recommend changes to your campaigns — budget shifts, audience adjustments, creative variations, keyword changes, and so on. These recommendations are best-effort suggestions; we do not guarantee that applying them will improve your performance or return on ad spend.

Effective June 24, 2026, recommendations may also be informed by anonymous, aggregated category benchmarks computed across the Ad-Aura customer base — for example, how your cost-per-click compares to the median for your industry — as described in section 5 of our Privacy Policy. Those benchmarks are minimum-cohort, nationwide-only aggregates that never expose any other customer's data. Benchmark-informed or not, recommendations remain best-effort suggestions and are not a guarantee of performance.

By default, our agents propose changes and you review and approve them before they take effect. You may, in your account settings, enable auto-approval (“auto_approve_optimizations”), in which case our agents will apply their recommendations directly to your live campaigns. If you enable auto-approval, you accept the risk that the agents may take actions you would not have approved manually, and you agree that we are not liable for the resulting changes to your campaigns or ad spend.

9. Third-party platforms

Ad-Aura sits on top of Google Ads, Microsoft Advertising, Meta Ads, TikTok Ads, Reddit Ads, and Stripe. When you connect any of these accounts to Ad-Aura, you remain directly bound by that platform's own terms of service and policies. If a platform suspends, limits, or changes its API, our ability to deliver the corresponding feature may change with little or no notice. We will do our best to keep you informed, but we are not liable for upstream platform decisions.

10. Disclaimers

Ad-Aura is provided “as is” and “as available,” without warranties of any kind, whether express or implied. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any specific advertising performance or business outcome will result from using it.

11. Limitation of liability

To the maximum extent permitted by applicable law, Ad-Aura's total aggregate liability to you for any claim arising out of or relating to these terms or the service is limited to the total amount of subscription fees (excluding any take-rate fees on managed ad spend) you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to lost profits, lost ad spend, lost data, business interruption, or loss of goodwill — even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold Ad-Aura and its operator harmless from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of: (a) advertising content you publish through the service, (b) your violation of these terms or the policies of any connected ad platform, or (c) your violation of any applicable law or regulation.

13. Termination

You may stop using Ad-Aura and close your account at any time. We may suspend or terminate your account if you materially breach these terms, fail to pay outstanding fees, or use the service in a way that creates risk for us or our other customers. Any fees owed at the time of termination remain payable. The data-retention and deletion sections of our Privacy Policy continue to apply after termination.

14. Governing law and disputes

These terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these terms or the service shall be brought exclusively in the state or federal courts located in King County, Washington, and you consent to the personal jurisdiction of those courts. Nothing in this section limits your mandatory consumer-protection rights under the law of the country where you live.

15. Changes to these terms

We may update these terms from time to time. The “Last updated” date at the top of the page reflects the most recent change. If we make a material change, we will notify active customers by email at least 14 days before the change takes effect. Continued use of Ad-Aura after the effective date constitutes acceptance of the revised terms.
